Default Ordered a new video card, what next?

Ok i've ordered an ASUS EAX1960PRO video card to remplace my PowerColor X700Pro. After this upgrade i will still have some money left over. I was just wondering which one of these two options would make more of a difference in gaming performance:

Upgrade CPU from P4 Prscott 530J 3.0ghz to Pentium D 945 Presler 3.4gz Dual-Core

OR

Change the 4x512mb DDR2-533 Kingston KVR DIMMs to OCZ XTC series DDR2-800 (2gb - 2x1024mb)

CPU all the way, there is a big diference between prescot core and the other one.

Ok, but now I have two CPUs that are about the price:

Intel Pentium D Presler 945 for 225$CAN, or the core 2 6300 for 30$ more which is better?

the C2D is so mutch faster and worth the extra 30$.
its faster
uses less power
new architecture (say bye bye to the netburst)
and is a overclockbeast.

but if you buy the C2D E6300 your ram wil be the bottleneck.

OK, the prices are down here in Montreal, the Core2 6400 is now 255$. Considering all the advantages it has over the 945, i will go for mthat once i have saved up enough money.

bottleneck? haha, no way dude, i can overclock my e6300 even with ddr 400 and its nowhere near instabilty or lower preformance or whatever.

With a C2D and DDR2 in dual channel mode the bottleneck is really moved more towards your HD's especialy when your doing say an big video encoding type of jobs.

Memory is not the bottleneck it used to be with Netburst core chips.
