I would unclock back to default BIOS settings when I change out the CPU. I really wonder if HP's motherboard would allow what you are doing, but I really do not know why not either.
Off hand I would say you can do it.
I changed a CPU in a Sony and it worked.The change was with Celerons and the original was slower than the replacement like what you are doing.
You might see if the 3.8 uses more current and whether it is too hot for the HSF that was OK with the 3.2.
